Terms of service
Effective date: October 27, 2026
These Terms of Service ("Terms") are an agreement between Eneris Technologies Inc. ("Eneris", "we", "us") and the business or person that creates an Eneris account ("Customer", "you"). They cover our website at eneris.ca, the Eneris web app, and the Eneris apps for iOS and Android (together, the "Service"). Our Privacy Policy explains how we handle personal information.
You accept these Terms when you create an account and agree to them, or when you use the Service. If you accept on behalf of a company, you confirm that you have authority to bind it, and "you" means that company. You must be of the age of majority where you live and use the Service for your business.
Your account
- Give us accurate information and keep it up to date.
- Each person who uses the Service needs their own account as a member of your team. An account is for one person only and may not be shared, including with other members of your team.
- Keep your sign-in details secure. You are responsible for activity under your account and your team's accounts.
- Tell us right away at admin@eneris.ca if you suspect unauthorized access.
- Team admins can invite and remove members, set their roles, and manage billing. Content a member creates belongs to the team and stays with it when the member leaves.
Plans, trials, and billing
Free trial. New accounts get a free trial of one month. We don't ask for a card, and the trial never turns into a paid plan automatically. When it ends, your account moves to the free plan unless you subscribe.
Paid plans. Paid plans are billed in advance, monthly or yearly, per team member, in the currency shown at checkout. Your plan renews automatically at the end of each billing period, and we charge your payment method, until you cancel. When you add or remove members, we adjust your bill for the rest of the period.
Taxes. Prices do not include taxes. We add applicable sales taxes (such as GST/HST, PST, or US sales tax) at checkout.
Payment. Payments are processed by Stripe. You authorize us to charge your payment method for your plan, renewals, added members, and taxes. If a payment fails, we may move your account to the free plan until it is paid.
Price changes. We will tell you at least 30 days before a price change applies to your next renewal. If you don't want to continue at the new price, cancel before your renewal date.
Cancelling. You can cancel at any time in your account's billing settings. Your paid features continue until the end of the current billing period, then your account moves to the free plan. Your content is not deleted when you cancel.
Refunds. Fees are not refundable, including for partial billing periods or unused members, except where the law requires a refund or these Terms say otherwise.
Your content
You own your content. "Customer Content" means everything you and your team put into the Service, including inspections, reports, photos, videos, templates, and client details.
Our permission to use it. You give us permission to host, copy, process, transmit, and display Customer Content only as needed to provide, secure, and support the Service, and as you direct (for example, when you send a report). This includes sending it to our service providers, as described in our Privacy Policy.
What we don't do. We don't sell Customer Content, use it for advertising, or train AI models on it. We may use aggregated or de-identified information that does not identify you or anyone in your reports to understand and improve the Service.
Your responsibilities. You confirm that you have the rights and permissions needed to put Customer Content into the Service and to share it through the Service. That includes your clients' personal information. You are responsible for giving your clients any notices and obtaining any consents the law requires (for example, telling them you use Eneris to prepare and deliver reports), and for following the laws and professional standards that apply to your inspections.
Shared links. Anyone with a report link can view that report until you make it private. You decide who receives your links.
Getting your content out. You can download your reports as PDFs at any time. If you need other data before closing your account, email admin@eneris.ca and we will help.
Feedback. If you send us ideas or suggestions, we may use them without any obligation to you.
How we handle personal information in your content
For personal information in Customer Content, we act on your behalf. We will:
- process it only to provide the Service and as you instruct us;
- require our staff and service providers to keep it confidential and protect it with appropriate safeguards;
- use only service providers bound by written obligations to protect it;
- help you respond to requests from people to access, correct, or delete their information;
- tell you without undue delay if we learn of a security breach affecting your Customer Content; and
- delete it when you delete it or close your account, as described in our Privacy Policy.
Customer Content is stored in Canada and the United States, as described in our Privacy Policy.
Eneris AI
Eneris AI is optional. Its suggestions, including findings summaries and information read from equipment data plates, can be wrong or incomplete. You are responsible for reviewing everything before it goes into a report, and for the professional judgement in your reports. Once you accept a suggestion, or turn on auto-accept, the content is yours like any other Customer Content.
Templates and agreements we provide
We provide inspection templates, comments, and sample pre-inspection agreements, including versions based on industry association materials. These are starting points only. They are not legal advice, and we do not promise that they are complete, enforceable, or right for your jurisdiction, licensing rules, or standards of practice. Have your own lawyer review any agreement before you use it with clients. You are responsible for the content you send to your clients.
You may use, copy, and distribute text from our templates as part of reports and documents you create with the Service, including after your subscription ends.
Payments from your clients
If you use Eneris to invoice and collect payments from your clients, those payments are processed by Stripe through your own Stripe account, under your agreement with Stripe (including the Stripe Connected Account Agreement). Stripe handles payment information as described in the Stripe Privacy Policy. You are the seller in those transactions and are responsible for your prices, taxes, receipts, refunds, and disputes with your clients. Eneris is not a party to those transactions.
Other services
The Service works with services we don't control, such as Google sign-in, Inspection Support Network (ISN), and Stripe. Your use of them is governed by their own terms, and we are not responsible for them.
Acceptable use
You must not, and must not let anyone else:
- use the Service to break the law or infringe anyone's rights, including their privacy;
- upload content you don't have the right to use, or content that is unlawful, harmful, or deceptive;
- send spam or unwanted messages through the Service;
- upload malware, or try to break, overload, or get around the security of the Service;
- access the Service by automated means (such as scraping), or copy, reverse engineer, or resell it, except as the law allows;
- share sign-in details with anyone, including other members of your team, or let more than one person use the same account; or
- use the Service to build a competing product.
Suspension and termination
By you. You can cancel your subscription at any time, and a team admin can delete your team's account in team settings.
By us. We may suspend your access, with notice where reasonable, if you don't pay, break these Terms, or put the Service or other users at risk, or if the law requires it. We may close your account if you materially break these Terms and don't fix the problem within 15 days of our notice. We may also stop providing the Service to you for any other reason with at least 30 days' notice, in which case we will refund any prepaid fees for the unused part of your billing period.
What happens next. When your account is closed, your access ends and your content is deleted as described in our Privacy Policy. Sections that by their nature should survive (such as ownership, disclaimers, limits of liability, and indemnities) continue to apply.
Our property
The Service, including its software, design, and content we provide, belongs to Eneris and its licensors. While you have an account, we give you a limited, non-exclusive, non-transferable right to use the Service for your business, subject to these Terms. These Terms don't give you any right to use our trademarks.
Changes to the Service
We are always improving the Service and may add, change, or remove features. If we remove a feature that is a material part of your paid plan, we will tell you in advance.
Disclaimers
We work hard to keep the Service available, secure, and accurate, but we provide it "as is" and "as available". To the extent the law allows, we disclaim all warranties and conditions, express or implied, including those of merchantability, fitness for a particular purpose, and non-infringement. We don't promise that the Service will be uninterrupted or error-free. You remain responsible for your inspections, your reports, and your dealings with your clients.
Limitation of liability
To the extent the law allows:
- neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, goodwill, or data, even if told they were possible; and
- each party's total liability arising out of or relating to these Terms or the Service is limited to the greater of the fees you paid us in the 12 months before the event giving rise to the claim and CA$100.
These limits do not apply to your obligation to pay fees, to your indemnity obligations, or to liability that cannot be limited by law. Our indemnity obligations are subject to these limits.
Indemnities
By you. You will defend Eneris against third-party claims arising from your Customer Content, your inspections and reports, your dealings with your clients, or your breach of these Terms or the law, and pay the resulting damages, costs, and reasonable legal fees.
By us. We will defend you against third-party claims that the Service, as we provide it, infringes their intellectual property rights, and pay the resulting damages, costs, and reasonable legal fees. This does not cover Customer Content, third-party services, or changes to the Service made by anyone other than us.
The party seeking protection must tell the other promptly, let it control the defence and settlement, and cooperate reasonably.
Changes to these Terms
We may update these Terms. If we make a material change, we will tell you by email or in the app at least 30 days before it takes effect. If you don't agree, you can cancel before the change takes effect. Otherwise, the updated Terms apply from the date shown.
Governing law and disputes
These Terms are governed by the laws of British Columbia and the federal laws of Canada that apply there. If a dispute arises, please email admin@eneris.ca first, and we will try in good faith to resolve it within 30 days. If we can't, the courts of British Columbia have exclusive jurisdiction.
General
- These Terms and our Privacy Policy are the entire agreement between you and Eneris about the Service, and replace any earlier agreements about it.
- You may not transfer these Terms without our written consent. We may transfer them as part of a merger, acquisition, or sale of assets.
- Neither party is responsible for delays caused by events beyond its reasonable control.
- If any part of these Terms is found unenforceable, the rest stays in effect. Not enforcing a right is not a waiver of it.
- We send notices to the email address of your account's admins. Send legal notices to us at admin@eneris.ca and the mailing address below.
